GENERAL TERMS AND CONDITIONS OF SALE



PREAMBLE

SURPRIZEMI, SAS, a Webedia Group Company, with registered offices at 2, rue Paul Valliant Couturier - CS60102 - 92532 Levallois-Perret Cedex, registered under number 789 531 084 with the RCS Paris ("SURPRIZEMI") is a business marketing and distributing each month to its customers, private individuals, a box containing surprise products from the world of video games and geek interests ("the Service"). The Service is exclusively available from the website www.wootbox.co.uk (“the Website").


These general conditions (the "General Terms and Conditions") govern the relationship between the company SURPRIZEMI and all adults with a subscription to WootBox (the "Customer", the "Wooter" or "You") via the Website. They apply, without limitation or qualification, to all sales of products and services offered by SURPRIZEMI on its Website.


By registering on the Website and by confirming their subscription, the Customer declares unreservedly that they accept the specific conditions of the subscription chosen and thus that they accept the full General Terms and Conditions. The original General Terms and Conditions are available only in French, and it is this version which is the only binding one.



ARTICLE 1 - Description of the WootBox Service

The service consists of sending Customers every month a box ("WootBox") containing surprise products, that is to say, not known in advance by the customer, the products being from the world of video games and geek interest items such as cultural products, figurines, T-shirts, decorative items, gadgets and accessories, offers from SURPRIZEMI partners (this list does not constitute a contractual commitment) with a market value of £40.


A SURPRIZEMI WootBox is issued per calendar month, that is to say a WootBox for the month of June, a WootBox for the month of July, etc., it being understood that SURPRIZEMI reserves the right to suspend the service of sending WootBox for a month. In this case, the Customer will not be charged for that month.


The WootBox for a given month is supplied within the limits of available stocks. In case of unavailability of a WootBox after an order has been placed, the Customer will be notified by e-mail as soon as possible. The subscription of the Customer will be postponed to the next WootBox. In the case that the customer does not wish the subscription to start for the next WootBox, the Customer may cancel the order or subscription by sending an email to SURPRIZEMI within 48 hours of receiving the email notifying them of the unavailability of WootBox.


The Service is only available for deliveries in mainland France, Corsica, Monaco, Belgium, Great Britain and Germany, in the French language. For logistical reasons, no subscriptions or sales outside these geographic areas is possible.


Customers declare that they are adult and competent to enter into a contract.


The site is normally available round the clock, 7 days a week unless in exceptional circumstances such as force majeure, interruption of the Internet network or in the case of maintenance operations.



ARTICLE 2 - The different Wootbox subscriptions

Subscription to the service can be made in four (4) ways, each with automatic renewal. Therefore, the Customer acknowledges that a subscription to the Service necessitates a mandatory payment, the intervals of which depend upon the type and duration of the chosen subscription:


The open-ended monthly subscription with a monthly payment: the Customer will pay monthly by direct debit the amount indicated on the Website for this subscription.


The 3-monthly subscription with automatic renewal and payment every 3 months (quarterly): the Customer will pay quarterly by direct debit the amount indicated on the Website for this subscription.


The 6-monthly subscription with automatic renewal and payment every 6 months (half-yearly): the Customer will pay each six-month period by direct debit the amount indicated on the Website for this subscription.


The 12-month subscription with automatic renewal and payment every 12 months (annual): the Customer will pay annually by direct debit the amount indicated on the Website for this subscription.


The Customer is free to terminate the membership at any time as set out in the article "unsubscribe" in these General Terms and Conditions.



Any subscription taken out is complete only after receipt by SURPRIZEMI of the relevant cost of the subscription regardless of any order confirmation sent to the Customer. SURPRIZEMI reserves the right to cancel any subscription taken out by a Customer whose payments are in arrears or if there is a dispute over payment of a subscription, or for any other legitimate reason relating to any irregularity concerning the order.



ARTICLE 3 - Duration of subscriptions and automatic renewal

Fixed-term subscriptions (3 months, 6 months and 12 months with automatic renewal) are renewable successively by automatic renewal for the same periods as the term of the initial subscription contract, unless it has been terminated online on the Website before the 15th (fifteenth) day of the last month of the current subscription.



ARTICLE 4 - Subscribing to WootBox

The steps to follow in order to subscribe to the Service are as follows:


Step 1. Wooter selects the subscription of their choice (1 month, 3 months, 6 months, 12 months) and provides information on the size and preferred cut of T-shirt for the selected subscription. The contents of the order can be checked at any time, and in the same way the relevant price in the "Shopping Cart" or on the "Summary" tab. In the "Summary" the Wooter may, if required, remove the selected subscription. If the Wooter wishes to modify any aspect of the subscription (duration, T-shirt size and / or cut), they should remove the selected subscription and choose the required subscription in the "Subscription" tab. If the Wooter wishes to order several identical or different subscriptions (duration, size or cut of t-shirt), they must take out a separate order for each subscription.


Step 2. The Wooter is identified on the Site by their email address and password (the "Identifiers"). If the Customer is new to the Wooters community, it is necessary to create an account and log in by entering a valid email address and a password (personal and confidential) which will subsequently be used to identify the Customer on the website, and to gain access to the space "My account". The Wooter receives an email confirming their registration, after registering on the Website.


Step 3. Once registered, the Wooter supplies information on one or more delivery addresses as well as their name, a landline or mobile number and any information which may be needed by a delivery company; this information is necessary for the processing and delivery of his or her WootBox.


Step 4. The Wooter is asked to confirm the delivery address and billing address for the selected subscription.


Step 5. The Wooter then chooses the delivery method on the understanding that all Wootbox orders are shipped between the 5th and the 10th of the month. On this page they are also asked to confirm acceptance of the General Terms and Conditions by checking the box provided for this purpose. If required, the Wooter can click on the link "Read the General Terms and Conditions" in order to access the General Terms and Conditions. It is not possible to complete the online ordering process without checking the box.


Step 6. The Wooter confirms the order by clicking on "Order". There is then the opportunity to re-check the order and remove if necessary. The Customer is then requested to make payment for the order by clicking on "Pay my order”. For the payment step, the Wooter is redirected to the secure online payment service provider Be2 Bill. Once the bank details have been transmitted, the Wooter receives an email confirming that payment has been made, with an attached invoice indicating a reference number, followed by a second email acknowledging the subscription and summarising the details of the service plan.


When registering on the Website, the Customer should ensure the accuracy of any information transmitted to SURPRIZEMI, which cannot be held responsible for any consequences arising from any input error.


In such cases the subscription to the service will be considered complete and confirmed, other than in the event of cancellation of the order by SURPRIZEMI, including in case of unavailability of WootBox. The Customer may nevertheless exercise the right of withdrawal in accordance with the article "Right of withdrawal" set out in these conditions.


ARTICLE 5 - Functioning of the subscription

The first WootBox subscription will be shipped during the calendar month indicated on the order, usually that of the month following that in which the subscription was completed, unless the WootBox for the current month is still available on the Website. For example, a subscription contracted in June will result in delivery of the WootBox in July unless the June WootBox is still available.


In the event that the WootBox for the current month and the following Wootbox are no longer available, the Wooter will receive the subsequent WootBox. So a subscription contracted in June would result in the delivery of the WootBox in September, if the WootBox for June and July are no longer available and there being no WootBox delivered in August.


In any event, any subscription can be temporarily or permanently suspended by SURPRIZEMI as stated in the article "Customer Account Deactivation" in the General Terms and Conditions. SURPRIZEMI cannot be held responsible for any loss or damages suffered by the Customer.



ARTICLE 6 - Subscription

Types of subscription:


All subscriptions take effect at the time they are ordered directly online by the Customer on the Website, in the "My Subscriptions" section.


Subscription for 3, 6 or 12 months:


Termination of any subscription for 3, 6 or 12 months will take effect at the end of the current subscription period (3, 6 or 12 months). To be effective, the termination must be notified to SURPRIZEMI before the 15th (fifteenth) day of the last month of the period.


The Customer may cancel a subscription of 3, 6 or 12 month, in the case of moving to another country for longer than three (3) months and subject to SURPRIZEMI not delivering in the said country. To take effect, the cancellation must be notified to SURPRIZEMI by registered letter with an acknowledgment of receipt to which a valid receipt must be attached. SURPRIZEMI will refund within 30 (thirty) days from the date of receipt of termination an amount equal to the subscription price divided by the number of months of subscription, multiplied by the number of remaining WootBox to be shipped on the date of receipt of the termination.


Monthly subscription:


Termination of any monthly subscription is effective for the following month if the WootBox cancellation takes place before the 15th of the current month. However, any WootBox already paid for by the Customer or for which payment has been taken will be sent automatically, and the subscription will expire after sending the last paid-for WootBox. For example, in the case of cancellation on 14 October, the Wooter will receive the WootBox for October but not the November WootBox. If notification of the cancellation of subscription is received on or after October 15, the Wooter will receive the WootBox in November but not in December.




ARTICLE 7 - Price and methods of payment

The price of each subscription is indicated on the Site. It is shown in Euros, including taxes, subject to the relevant subscription being billed at the prices effective at the time of validation of the order. Shipping charges are in addition.


Prices may be varied at any time by SURPRIZEMI and the change will be notified to the Customer before any order or renewal of a current subscription.


Payment for a subscription is effected by means of a bank payment card. The Customer guarantees to SURPRIZEMI that he or she is fully authorised to use the payment card in payment of the order and that such payment method legally gives access to sufficient funds to cover all costs of the order on the Website. SURPRIZEMI cannot be held responsible for any fraudulent use of the payment method concerned.


Payments are processed via a secure data processing encryption so that no information provided by the Customer is accessible to third parties. The Customer will receive a payment confirmation email, which may be printed and retained. Any alteration to bank details will come into effect the month following a change being made on the Website.


Bank deductions of sums due under a subscription in progress or in the case of renewals are made on the 15th of the month in which the subscription is validated. When a subscription is validated after that date, the relevant sum will be collected on 15th of the following month. Excluding cancellations of subscription when the charge cannot be effected, it will cover the remaining days to the end of the month. If the bank deduction could not be completed during this month, the WootBox for the month in question will not be sent to the Customer. However, the Wooter’s subscription remains in force and the next deduction will be taken during the following month and will be for the next WootBox.

SURPRIZEMI reserves the right to suspend or cancel any order or refuse delivery in the event of non-payment or non-receipt of any amounts due or in the case of any payment disruption. In addition, penalties of an amount equal to the statutory interest rate plus five percentage points are automatically applicable to amounts outstanding at the end of a period of ten (10) days after notification of the rejection of bank payment. The delivery of any new WootBox may be suspended in the case of late payment of a previous order, notwithstanding the provisions of these General Terms and Conditions.


SURPRIZEMI retains full ownership of WootBox and the products and services they contain until full payment of the price, delivery costs and taxes has been made.




ARTICLE 8 – Wootbox Features and Compliance

The Customer declares and acknowledges entering into a subscription to receive a monthly WootBox, namely a package of which the contents are a surprise to the recipient. The products and services contained in a WootBox are drawn from the world of video games, high-tech, science fiction, fantasy, heroic fantasy, entertainment and / or lifestyle interests. Each Wootbox has, in this sphere, a different theme (e.g. Japan, Heroic Fantasy, Apocalypse, Adventure, Heroes etc.). However, the precise content of each WootBox is not known by the Customer before ordering. The Customer acknowledges and fully recognises this essential feature of the service.


Information detailed on each product page is that reported to SURPRIZEMI by the suppliers of those products. SURPRIZEMI is not involved in the compiling or design of this information and cannot be held liable for any consequence arising from such information.


The contents of the previous Wootbox are reproduced and / or indicated on the Website to enable the Wooter to understand the type of goods and services contained in the WootBox. SURPRIZEMI makes its best efforts to ensure the photographic representations and descriptions of such products or services on the Website are as faithful as possible to the products or services themselves. However, given the digital mode of representation of products or services on the Internet, it is possible that the perception by the Customer of the photographic representations of products or services may not exactly match the product or service itself, and the Customer acknowledges and agrees that this is the case.



ARTICLE 9 - Terms and conditions of WootBox delivery

SURPRIZEMI sends a WootBox each month via a logistics provider to the Wooters having subscribed to that WootBox, to the shipping address provided by them during the subscription process. If there is a change to the delivery address for a current subscription, the Customer must indicate this change on the Website via their personal space at least 15 (fifteen) days before the start of the relevant month.

Wootbox deliveries are made only in Great Britain, Czech Republic, Hungary, Lithuaia, Netherlands, Poland, Estonia & Slovakia.  (unless otherwise specified in the sale). For logistical reasons, SUPREZEMI is not able to offer its services in other overseas territories.


The WootBox will be delivered according to the delivery by B2C (£6 per box) with tracking within 48 hours of dispatch of the Wootbox) with the proviso that delivery times indicated on the Site are target dates, corresponding to the average processing time and delivery recorded for each type of delivery offered.



SURPRIZEMI cannot be held responsible for consequences due to delayed delivery. If the parcel is returned to SURPRIZEMI, a second delivery will be at the Customer's expense. If the package is returned to SURPRIZEMI again, it will not be redirected to the Customer and the amount corresponding to this WootBox including the costs of any additional deliveries, will remain payable to SURPRIZEMI.



ARTICLE 10 - Right of cancellation

In accordance with Article L. 121-20 of the Consumer Code, the Wooter has the discretionary right of withdrawal. This right may be exercised within 14 (fourteen) days from the receipt of the first WootBox of the subscription contract. A Customer wishing to exercise this right should send an email to support@wootbox.co.uk or support@wootbox.co.uk informing SURPRIZEMI of the wish to cancel, reception of which will be acknowledged.


It is the responsibility of the Customer to return the WootBox in its packaging and in its original condition, new, unopened, by post to SURPRIZEMI, at the Customer’s expense, within a period of 14 days to the following address: Surprizemi / Wootbox, 2, rue Paul Vaillant Couturier - CS60102 - 92532 Levallois-Perret Cedex, and should retain a stamped proof of posting (with acknowledgment of receipt).


If the WootBox is not returned by the Customer within 14 (fourteen) days of receipt of the first WootBox or if the WootBox is not returned in the condition described above (e.g. if the WootBox was opened), the return is considered invalid and the Customer will not be refunded.

The price of the returned WootBox will be refunded to the Customer as well as the cost of the initial delivery by bank transfer within a maximum of 14 (fourteen) days from the date SURPRIZEMI receives proof of dispatch of the WootBox or receives the WootBox. Return shipping costs are the responsibility of the Customer.



ARTICLE 11 - Lack of compliance and reporting of defects

The Customer is required to notify SURPRIZEMI of any defects in the WootBox received (e.g. damaged packaging, already opened, missing parts or shortfall of products contained in the WootBox) within 2 days of receipt of the WootBox.


In addition, the Customer benefits from the legal guarantee of compliance and warranty against hidden defects for a period of two (2) years. Specifically excluded from the scope of the guarantee are alterations in colour or smearing, breakdowns, malfunctions or breakages resulting from a fall, an accidental event or force majeure, improper handling, lack of maintenance by the customer or non compliance with the instructions for use and maintenance of products.


In the event of a defect or nonconformity duly recorded by SURPRIZEMI, the Customer may obtain a refund or replacement with an equivalent product, at the discretion of SURPRIZEMI, to the exclusion of any damages or other compensation of any nature whatsoever under the guarantee of conformity. Return costs will not be borne by SURPRIZEMI other than by prior agreement.


In addition, the Client is duly informed and acknowledges that no return based on the nature of the service will be possible: the customer has subscribed to a mailing service for WootBox containing "surprise" products and will not be able to request its return if the surprise products are not to their liking.



ARTICLE 12 - MegaWootbox monthly draw

SURPRIZEMI organises in general a monthly draw on the Website, among Wooters having taken out a subscription for Wootbox during the relevant month of the draw. Thus all Wooters whose subscription has been confirmed by SURPRIZEMI before the end of the sale of the Box being are considered participants in the draw, on the specific understanding that this date varies depending on existing WOOTBOX stocks.


This draw can enable the specified subscribers to win the Mega WOOTBOX of the month, with a market value of around 2,000 euros, or one of 10 Mini Mega WOOTBOX, 1 (one) Mini Mega WOOTBOX having a market value of around 50 euros.


The contents of the Mega WOOTBOX or Mini Mega WOOTBOX varies every month, as do the Wootbox offered on the WOOTBOX site. For example, non-contractual:


1 (one) Mega WOOTBOX may contain: a Sony 4K UHD LED TV of 125 cm, a limited edition Wii U Super Mario Maker including console and accessories, Super Mario Maker game, as well as a pixel Amiibo Mario, a new 3DS special edition of Dragon Ball Z: Extreme including the console and the game as well as an exclusive bundle and as a bonus, the game Dragon Ball Z: the Legend Saien Super Famicom Version to download, a DC Comics Variant Play Arts Kai Batman figurine created by Tetsuya Nomura.

1 Mini Mega WOOTBOX may contain one (1) lot of Magic cards, as part of a collection of a total of over 600 cards as well as a Funko POP Magic figurine.



The draw takes place once a month after the shipment of the month’s Wootbox using draw software THE HAT. Each month, Wooters are selected from a randomly generated list from the database. A Mega WOOTBOX is assigned to the first Wooter whose name is on the list. 10 Mini Mega WOOTBOX are assigned to the next 10 Wooters on the random list; these are the Wooters whose names are indicated on lines 2-11.

SURPRIZEMI reserves the right to extend, modify or cancel the draw, without any liability being incurred thereby.


ARTICLE 13 – Gifting a WOOTBOX subscription

SURPRIZEMI allows Wooters to offer a subscription to WootBox for a period of 3, 6 or 12 months. The Wooter selects "give a subscription to WootBox" and chooses the desired subscription term. The online order process then follows the same process as for any normal subscription, the subscription gift (the "Gift Card") being the product mentioned in the Wooter’s basket. The Gift Card is neither exchangeable nor refundable even partially after it has expired. It cannot be used more than once. It does not give access to the subscribers advantages on the shop.


Confirmation of the purchase of the Gift Card is either sent by email or can be printed directly from the Website. The Wooter can make the gift by delivering or sending the Gift Card to the person of their choice whether or not the recipient is a member of the Wooter community. The Gift Card must be activated by the recipient within three (3) months of the purchase. Upon activation of the subscription, the recipient will be invited to register on the Website and to provide all relevant data and accept these General Terms and Conditions.


Failure to activate the subscription in the above period will result in the service plan being lost and the beneficiary will not be entitled to receive any WootBox included in the subscription that was offered.


ARTICLE 14 - Wootbox Sponsorship

For the Sponsor: a Wootbox subscriber benefits from a £5 discount on the next automatic payment of the subscription; this applies to each individual who has sponsored their own valid subscription.


5 per sponsored subscriber will be credited in "my account / Sponsorship" and will be deducted from the next automatic debit subscription payment. The accumulation of sponsorships is possible. For example: if 4 sponsorships for €5 are validated in 1 month, £20 is credited and will be deducted from the next subscription direct debit, or 1 box offered with a value of £19.99 excluding delivery.



Conditions: the sponsor must have an active subscription to receive the discount on their next collection. Valid for all offers in the same category (Monthly, 3 Months, 6 Months or 12 Months subscription) = £5 discount per sponsored individual on their next automatic payment.


For a sponsored individual: A recipient of sponsorship receives a £3 discount offered by their sponsor during the sponsor’s subscription; this applies only to the first month’s subscription.


Conditions: limited to 1 discount per sponsorship recipient, cannot be combined with other discounts.



ARTICLE 15 - Signature and proof of identity

SURPRIZEMI implements the means necessary to protect the personal information of its customers by ensuring a high level of security. However, the customer also has a role to play in the protection of their personal data and in particular, the Customer must maintain the security of their online transactions, for example by not revealing their Identifiers to anybody and by regularly changing their password. As such, the use of the Customer ID is deemed to be valid proof of identity, and liability, following validation of the Order, for the corresponding sums. SURPRIZEMI will in no case be held responsible for the fraudulent use of such information.


The provision of the credit card number and the final validation of the Order shall be evidence of the acceptance of the said order and acceptance of liability to pay the amounts incurred for the subscription to WootBox. The records stored in the computer systems of SURPRIZEMI and its partners will be considered proof of communications, subscriptions entered into and payments between the Customer and SURPRIZEMI.


By becoming a user of the Site, the Customer acknowledges that exchanges between themselves and SURPRIZEMI will be mainly electronic (email), except in special cases provided herein or required by law, and accepts that invoices will be transmitted via email.


The archiving of order information and invoices is carried out in a reliable and sustainable manner to reflect a true and accurate record pursuant to section 1348 of the Civil Code. It is understood between the parties that this choice of the method of correspondence will constitute proof or evidence in the sense of Article 1316-2 of the Civil Code.




ARTICLE 16 - Deactivation of a client account

Failure by a Customer to meet their obligations under the General Terms and Conditions, any default of payment, acts contrary to the interests of SURPRIZEMI, the communication of false information, disparaging or erroneous information when creating the account or on a social network forum, can result in suspension of access to the Website and / or delivery of WootBox or even cancellation of the Customer account and subscription, depending on the severity of the conduct in question, without any claim for damages or compensation whatsoever to SURPRIZEMI. SURPRIZEMI reserves the right to refuse any order from a customer with whom there is a dispute of this nature, even if they use a new account.



ARTICLE 17 - Responsibility

SURPRIZEMI can under no circumstances be required to verify the legal capacity of its Customers. Therefore, if a customer who does not have the legal capacity wishes to place an order on the Site, their legal representatives (notably parents or guardians) must take full responsibility for the Order and shall in particular honour the payment commitment.


SURPRIZEMI offers a service for the supply of products, but is by no means the designer or manufacturer of these products or services. Therefore, within the limits provided by law, SURPRIZEMI will in no circumstances be held liable for damages resulting from the use of WootBox products that are distributed under the sole responsibility of their manufacturers and are used under the sole responsibility of the Customer.


The information available on the Website is provided "AS IS" without warranty of any kind, especially concerning the integrity, accuracy, timeliness, non-infringement, availability, reliability or completeness of the information, products, accessories or services that appear on the SURPRIZEMI Website or their suitability for the Customer’s intended use.


The responsibility of SURPRIZEMI is limited to direct damages, excluding any consequential loss of any nature whatsoever. SURPRIZEMI will not bear responsibility for any damage suffered by the Customer or third parties arising directly or indirectly from the breach by the Customer of any of their obligations, negligence, use of a Product including improper purposes other than those specified by SURPRIZEMI or its suppliers or in case of delay or breach of its obligations due to any cause beyond its control such as an accident or force majeure as defined by the French courts.


SURPRIZEMI does not accept any liability in the event that a product does not comply with the legislation of the country of delivery. In addition, SURPRIZEMI will not be responsible in any case of shortage or minor differences between product photos and texts posted on its Website, and the products delivered.


The total amount of compensation and any amounts payable by SURPRIZEMI through the Service and the General Terms and Conditions shall not exceed the total price paid by the Customer under the order concerned.


The limitations of liability do not apply in the case of fraud or gross negligence, in the case of injury or liability for defective products, in the case of eviction and in the case of non-compliance (including by reason of hidden defects).


Any complaint against SURPRIZEMI must be made within one month of the occurrence of the event which is the subject of the complaint.



ARTICLE 18 - Freedom of Information

For proper management of subscriptions and trade relations, SURPRIZEMI collects certain information and customer data, including first names, surnames, addresses, and phone numbers. The collection of this data is subject to the consent of the Wooter and has been declared to CNIL under the number 0572220.


Given the nature of data and the risks arising from its treatment, SURPRIZEMI is committed to taking all necessary precautions to ensure safety, especially to prevent it from being distorted, damaged, or accessed by any unauthorized parties. The data collected will be forwarded to SURPRIZEMI subcontractors responsible for the execution of the service including the management, implementation, delivery, processing and payments of Wootbox, within the limits of strict necessity and solely for the efficient carrying out the above tasks.


This information and data is also stored for security purposes, to meet legal and regulatory requirements and to allow SURPRIZEMI to improve and personalise the services offered and the relevant information.


In accordance with the Data Protection Act, Customers have the right to access and correct personal data concerning them. The Customer should write to support@wootbox.co.uk, stating their full name, email address and customer reference.

Depending on the choices made when creating or amending their account, Customers will receive offers from SURPRIZEMI and its corporate partners as indicated when creating the account. SURPRIZEMI reserves the right to use the statistics provided through the questionnaires completed by customers in order to improve its service and that of partner brands.



ARTICLE 19 - Modifications of the General Terms and Conditions

SURPRIZEMI reserves the right to modify and update the General Terms and Conditions. In any case, such changes will not apply to subscriptions and orders previously accepted by the Customer and confirmed to the Customer by SURPRIZEMI.

Advertising on the Website

At any time SURPRIZEMI may decide to place advertising space on the website www.wootbox.co.uk. SURPRIZEMI has complete discretion in the matter of choosing these advertisers and types of presentation of advertisements and also their position on the site.

Partial invalidity

If one or more provisions of the General Terms and Conditions is held to be invalid or declared as such under any law, regulation or following a final decision of a competent court, other provisions shall remain in full force and scope.


Non Waiver

The failure of either party to communicate to the other Party a breach of any of the obligations contained in the General Terms and Conditions shall not be interpreted for the future as a waiver of obligation.


Governing Law and Jurisdiction

Any dispute concerning the implementation or interpretation of these General Terms and Conditions will be submitted to the competent court of the place of residence of the defendant, or the place of actual delivery of the item or place of execution of the service or the place of the damage or that in whose jurisdiction the damage was suffered at the Customer's choice.


ARTICLE 21 - Special Offers / Promotional Codes

Subscribers price : the Wootbox shop has "subscribers " prices". These prices give discounts only to the Wootbox subscribers ( Wootshirt and gig cards are not listed among the subscribers) who have a valid subscription. Every cancelled or failed to pay subscription are not allowed to enjoy these discounts.
